Terms of Service

IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 14) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY BEFORE USING THE SERVICE.

1. Acceptance of Terms

By accessing, downloading, installing, or using Finelyt ("the Service"), operated by Finelyt ("the Company," "we," "us," or "our"), you ("User," "you," or "your") expressly agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional policies referenced herein.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

Finelyt is a subscription management platform that helps users track, manage, and optimize their recurring subscriptions. The Service includes:

  • Automatic detection of subscriptions through read-only email scanning
  • Subscription tracking, categorization, and management tools
  • Billing date reminders and renewal notifications
  • Subscription analytics, insights, and cost optimization suggestions

We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, and without liability to you or any third party.

3. User Accounts

3.1 Registration

You must provide accurate, current, and complete information during registration and keep your account information updated. Providing false, misleading, or outdated information constitutes a breach of these Terms and may result in immediate termination of your account.

3.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, whether authorized by you or not
  • Notifying us immediately at support@finelyt.com of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to maintain the security of your account.

3.3 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions, abuse promotions, or for any fraudulent purpose is strictly prohibited and grounds for immediate termination.

4. Email Connection and Data Access

By connecting your email account (Gmail or Outlook), you:

  • Grant us read-only access to your email solely for the purpose of identifying subscription-related information
  • Acknowledge that we use OAuth 2.0 and never store your email password
  • Understand that we cannot and do not send, delete, modify, or forward your emails
  • Accept that subscription detection relies on automated parsing and may not be 100% accurate (see Section 10)
  • May disconnect your email at any time, which will immediately revoke our access and delete stored tokens

You represent and warrant that you have the legal authority to grant us access to the email account you connect, and that doing so does not violate any agreement with your email provider or any applicable law.

5. Subscription Plans and Payment

5.1 Paid Plans

Finelyt offers paid subscription plans ("Pro Plan"). By subscribing, you authorize us to charge the applicable fees to your designated payment method through our payment processor, Stripe.

5.2 Automatic Renewal

All paid subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription fee at the beginning of each new billing cycle.

5.3 No Refunds

ALL FEES ARE NON-REFUNDABLE. No refunds or credits will be issued for partial subscription periods, unused features, account downgrades, or account termination, except where required by applicable law. If you cancel your subscription, you will retain access to paid features until the end of the current billing period.

5.4 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least 30 days' notice of price increases. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing. If you do not agree, you must cancel your subscription before the new price takes effect.

5.5 Failed Payments

If payment fails, we may suspend or restrict your access to paid features. We reserve the right to retry the charge and/or terminate your subscription after repeated payment failures.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property, privacy, or other rights of any third party
  • Transmit any malicious code, viruses, worms, trojans, ransomware, or harmful data
  • Attempt to gain unauthorized access to the Service, other user accounts, or any connected systems
  • Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure
  • Use automated scripts, bots, scrapers, or crawlers to access or extract data from the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Circumvent, disable, or interfere with any security, access control, or content protection features
  • Create multiple accounts, share account credentials, or resell access to the Service
  • Use the Service for any fraudulent, abusive, or illegal purpose
  • Impersonate any person, entity, or falsely represent your affiliation with any person or entity
  • Collect, harvest, or store personal information about other users
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without refund, and may be reported to law enforcement authorities.

7. Intellectual Property

The Service, including all content, features, functionality, software, designs, text, graphics, logos, icons, images, and the selection and arrangement thereof, is the exclusive property of Finelyt and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes, subject to these Terms. This license does not include:

  • Any right to copy, reproduce, distribute, or create derivative works of the Service
  • Any right to modify, adapt, translate, or reverse engineer the Service
  • Any right to sublicense, sell, rent, lease, or commercially exploit the Service
  • Any right to use the Finelyt name, logo, or trademarks without prior written consent

You retain ownership of any data you provide to the Service. By using the Service, you grant us a worldwide, royalty-free, non-exclusive license to use, store, process, and display your data solely as necessary to provide and improve the Service.

8. User Content and Feedback

Any feedback, suggestions, ideas, bug reports, or other communications you submit to us ("Feedback") become our exclusive property. You hereby assign to us all rights, title, and interest in any Feedback and agree that we are free to use it without any compensation, attribution, or obligation to you.

You waive any "moral rights" or equivalent rights in such Feedback to the fullest extent permitted by applicable law.

9. Third-Party Services

The Service may contain links to or integrations with third-party services (including Google, Microsoft, Stripe, Supabase, and Vercel). These third-party services are governed by their own terms and privacy policies. We are not responsible for:

  • The content, accuracy, or practices of any third-party service
  • Any loss or damage arising from your use of third-party services
  • The availability, performance, or security of third-party services

Your use of third-party services is entirely at your own risk.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF SUBSCRIPTION DATA DETECTED BY THE SERVICE
  • WARRANTIES THAT THE SERVICE WILL DETECT ALL SUBSCRIPTIONS OR CORRECTLY IDENTIFY PRICING, BILLING DATES, OR RENEWAL TERMS
  • WARRANTIES REGARDING THE RESULTS OBTAINED FROM USING THE SERVICE

YOU ACKNOWLEDGE THAT SUBSCRIPTION DETECTION IS BASED ON AUTOMATED EMAIL PARSING AND MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL SUBSCRIPTION INFORMATION AND MAKING FINANCIAL DECISIONS BASED ON YOUR OWN JUDGMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) IN NO EVENT SHALL FINELYT, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) FIFTY US DOLLARS ($50.00).

(C) WE SHALL NOT BE LIABLE FOR ANY FINANCIAL LOSS, MISSED CANCELLATION DEADLINES, UNWANTED SUBSCRIPTION CHARGES, OR ANY OTHER LOSS RESULTING FROM INACCURATE, INCOMPLETE, OR DELAYED SUBSCRIPTION DATA PROVIDED BY THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Finelyt, its owners, directors, officers, employees, agents, contractors, affiliates, licensors, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees and legal costs) arising from or related to:

  • Your use of or access to the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, or contractual rights
  • Any content or data you provide to or through the Service
  • Any unauthorized use of the Service through your account
  • Any dispute between you and a third party relating to the Service

This indemnification obligation survives the termination of your account and these Terms.

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting your account through the Service settings or by contacting us at support@finelyt.com. Cancellation of a paid subscription will take effect at the end of the current billing period. No refunds will be issued for any remaining time in the billing period.

13.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

  • Breach of these Terms or any applicable policy
  • Fraudulent, abusive, or illegal activity
  • Failure to pay applicable fees
  • Inactivity for an extended period
  • Requests by law enforcement or governmental agencies
  • Discontinuation of the Service
  • At our sole discretion for any reason

13.3 Effect of Termination

Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete all data associated with your account within 30 days; (c) any outstanding fees remain due and payable; (d) Sections 7, 8, 10, 11, 12, 14, 15, and 16 survive termination.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@finelyt.com and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

IF INFORMAL RESOLUTION FAILS, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION, rather than in court, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.

Arbitration shall be conducted under the rules of a recognized arbitration body mutually agreed upon by the parties. If the parties cannot agree, arbitration shall be conducted in accordance with the applicable commercial arbitration rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND FINELYT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Finelyt agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

14.4 Time Limitation

You agree that any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose. Failure to file within this period permanently bars the claim.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Finelyt is incorporated, without regard to its conflict of law principles.

For any claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the courts located in the jurisdiction where Finelyt is incorporated. You waive any objection to such jurisdiction or venue, including on grounds of forum non conveniens.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Finelyt regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Finelyt.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets, without restriction or notice.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, cyberattacks, or third-party service disruptions.

16.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No person or entity other than you and Finelyt shall have any rights under these Terms.

16.7 Headings

The headings in these Terms are for convenience only and do not affect the interpretation of any provision.

17. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. Material changes will be communicated via email and/or prominent notice on the Service at least 30 days before they take effect. Non-material changes take effect immediately upon posting.

Your continued use of the Service after the effective date of any changes constitutes your binding acceptance of the revised Terms. If you do not agree, you must stop using the Service and terminate your account before the effective date.
